Secomerica’s Subsidiary to Acquire HMSS

Secomerica Inc., Newport Beach, said that a $50-a-share tender offer to acquire HMSS, a provider of in-home infusion therapy, has been completed.
The company’s subsidiary, Secomerica Acquisition Corp., acquired 4,777,487 shares of HMSScommon stock, or 99% of the total outstanding shares. The merger of HMSS and Secomerica Acquisition Corp. will be completed as soon as practical, Secomerica said.
Secomerica provides commercial and residential security and emergency medical services. HMSS provides the intravenous administration of medications, nutrients and fluids to patients in their homes through 16 regional facilities and 12 satellite operations throughout the United States.
